Fellow JLA Members, Karen Sjolin, Peter Bombaci and I are hereby providing you with Notice of a Special Meeting for the purpose of dissolving the JLA Board of Directors.
The meeting will take place virtually on Tuesday October 5th, 2021 at 7:30 pm.
We are calling this meeting for the beautiful asset that we call JACK LAKE that we all want to protect for years to come. I don’t know how we got here but what is clear it is that a clean slate must occur and we need to get back to community, compassion and respect.
In saying this it does not mean that everyone has to agree on all things but people have to listen to one another, be open minded, be rational and accept defeat or being outvoted when that is the case and for goodness sake no more bullying. Given what I do every day for the last almost 35 years, I know how this behavior can tear apart families, communities, business partnerships and leave years of regret and resentment.
A client once told me; "everyone is replaceable” and none of us has an absolute right to steer the association without a clear mandate from its members. It is for that reason and for the sake of the community that we together with the request of more than 25% of the membership notwithstanding that the Corporations Act only requires 10%. Under both the Act and the current By-laws, the members of the association have requested this meeting.
The meeting will be held by zoom at the below co-ordinates. At that meeting you will be asked to remove the entire board of directors and set a new date 20 days hence to take in requests for new directors and then vote on a new slate of directors, and to run a meeting to appoint new directors. Myself and the other members are like Switzerland. We don’t care about the outcome other than to install a fresh board with a mandate from all members as well as stop the bickering.
Let me be clear though, that does not mean that any member of the existing board cannot throw their hat back into the ring for a seat if that is what the membership ultimately decides. This is a democracy, where governance is decided by the members and where there are bylaws and rules that govern how things work.
We are also asking that you install us as Caretakers as defined under the bylaws between the two votes (should the members remove the Board). In the intervening period we will distribute the Bio’s for candidates for the members to consider. The lake has many issues that need our attention and we need one strong voice to chart a path for the future and the best interest of our lake.
